Welcome to uMerit AI, operated by Hash Origin Inc. ("Company," "we," "us," or "our"). These Terms govern your access to and use of the uMerit AI platform, website, and related services.

By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.

Description of Services

uMerit AI is an educational platform designed to assist students with college application preparation, essay development, admissions research, and related academic planning. The Services may include:

  • AI-generated essay feedback and suggestions
  • Essay examples and structural models
  • College research and matching tools
  • Admissions strategy guidance
  • Test preparation resources
  • Application tracking and organization tools

The Services are provided for educational and informational purposes only. We do not guarantee admission to any college, scholarship, or academic program.

Educational & AI Disclaimer

The platform uses artificial intelligence to generate feedback, suggestions, and analysis. You acknowledge and agree that:

  • AI-generated content may contain errors or inaccuracies
  • AI feedback does not replace human judgment
  • You are solely responsible for evaluating and verifying suggestions before relying on them
  • Final application materials submitted to colleges must be your own original work
  • Submitting AI-generated content as your own may violate college academic integrity policies
  • The Services are not a substitute for licensed college counselors, attorneys, or other professional advisors

User Accounts

To access certain features, you may be required to create an account. You agree to provide accurate and complete information, maintain the confidentiality of your login credentials, and notify us immediately of unauthorized account use.

You are responsible for all activity occurring under your account. We reserve the right to suspend or terminate accounts that violate these Terms.

User Content & Intellectual Property

Ownership

You retain ownership of essays and other content you submit ("User Content").

License to Company

By submitting User Content, you grant the Company a limited, non-exclusive license to process, analyze, and display the content solely for the purpose of providing the Services. We do not sell or distribute your essays to colleges or third parties.

AI Processing

User Content may be processed by third-party AI providers (such as Anthropic, Google, or OpenAI) in order to generate feedback. These providers operate under their own privacy and data handling policies. We do not use your essays for public display or publication without explicit consent.

Company Intellectual Property

All platform content, systems, and methodologies are proprietary and protected.

Except for User Content, all materials provided through the Services — including software, AI prompts, evaluation frameworks, templates, scoring systems, and design systems — are the exclusive intellectual property of Hash Origin Inc., protected by copyright, trademark, and other intellectual property laws.

Prohibited Actions

  • Copy, reproduce, or redistribute platform content
  • Reverse engineer or attempt to extract proprietary systems
  • Create derivative works or competing services based on our methodologies
  • Resell, sublicense, or commercially exploit Services outputs
  • Use automated tools to scrape or extract platform data
  • Reproduce our frameworks for use in tutoring or counseling services

Anti-Resale

Users may not reproduce, resell, redistribute, or commercially exploit the Services or any outputs (including reports, analyses, or recommendations) without prior written consent from Hash Origin Inc.

Essay Examples

Essay examples provided on the platform are educational models designed to demonstrate writing techniques. They are not actual student submissions and are not affiliated with any specific applicant. Examples are anonymized and adapted for educational purposes.

Copying example content into your own application materials may constitute plagiarism and may be detected by college admissions offices. Examples are provided to teach structure, technique, and strategy — not for verbatim reproduction.

Acceptable Use

You agree not to:

  • Upload content you do not have the right to use
  • Attempt to reverse engineer or interfere with platform systems
  • Use the Services for unlawful purposes
  • Misrepresent your identity
  • Abuse or disrupt platform functionality
  • Share account credentials with others
  • Use automated bots or scrapers to access the Services
  • Submit false or misleading information

We reserve the right to remove content and suspend accounts for violations.

Payments & Subscriptions

Certain features may require payment. By purchasing a subscription or service:

  • You authorize us (or our payment processor) to charge your selected payment method
  • Subscriptions automatically renew unless canceled prior to renewal
  • Cancellations stop future billing but do not provide refunds for past billing periods unless required by law
  • You may cancel your subscription at any time through your account settings

Payments are processed through Stripe. We do not store full credit card information. All pricing is subject to change with reasonable notice.

Data & Privacy

Your use of the Services is also governed by our Privacy Policy. While we implement reasonable security measures, no system can guarantee absolute security.

You agree not to upload highly sensitive information such as Social Security numbers, banking credentials, or government ID numbers.

If you are under 18, you represent that you have parental or guardian consent to use the Services. We do not knowingly collect personal information from children under 13 without verified parental consent.

No Warranty

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE."

We do not guarantee accuracy or completeness of AI-generated content, admission outcomes, scholarship awards, error-free platform operation, continuous availability, or specific results or outcomes.

Use of the Services is at your own risk.

Limitation of Liability

To the fullest extent permitted by law, Hash Origin Inc. and its officers, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to college admissions decisions, missed deadlines, scholarship outcomes, academic or disciplinary consequences, reliance on AI-generated content, loss of data, or platform downtime.

Our total liability for any claim shall not exceed the amount you paid for the Services in the 12 months preceding the claim.

Indemnification

You agree to indemnify, defend, and hold harmless Hash Origin Inc. and its officers, directors, employees, and affiliates from and against any claims, damages, losses, and expenses (including reasonable legal fees) arising out of your use of the Services, your violation of these Terms, your submission of plagiarized or unlawful content, your violation of any third-party rights, or your misrepresentation of academic work. This obligation survives termination of your account.

Termination

We may suspend or terminate access to the Services at our discretion if you violate these Terms or engage in conduct harmful to the platform or other users. You may cancel your subscription at any time through your account settings. Termination does not relieve you of payment obligations incurred prior to termination.

Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law principles.

Dispute Resolution & Arbitration

Any dispute arising out of or relating to these Terms or the Services shall be resolved through binding arbitration administered by a recognized arbitration body in the United States, conducted on an individual basis. Class actions and class arbitration are not permitted.

You waive the right to trial by jury and to participate in class action proceedings.

Nothing in this section prevents either party from seeking injunctive relief for intellectual property misuse or unauthorized access.

Changes to Terms

We may update these Terms from time to time. Material changes will be communicated via email or platform notification. Continued use of the Services after changes become effective constitutes acceptance of the updated Terms.
